In its June 19 signing announcement, Synthomer said the site supplied monomers to other group businesses and toll-manufactured acrylic dispersions. Those supply and tolling arrangements were to continue under the new ownership.

Synthomer described the operation as a noncore, upstream business with greater cyclicality and capital intensity than the specialty businesses on which it is concentrating. It reported 2025 external revenue of €68 million and a standalone adjusted EBITDA loss of €10 million for the divested operation.

The seller's external-sales figure and the buyer's €110 million carve-out figure use different bases: Mutares explicitly includes intercompany revenue. They should not be read as conflicting estimates of the same sales measure.

The June agreement provided for no initial consideration at closing and a mechanism for Synthomer to receive up to €12 million from cash generation over three years. Synthomer also then expected approximately €5 million of cash to remain in the business at completion, alongside normalized working capital.

The Sept. 30 notice confirms completion. The financial structure above is the one disclosed at signing, rather than a newly reported closing cash payment.

For Mutares, the acquisition establishes another chemicals platform with an existing production base, workforce and customer relationships.
