Saint-Gobain to Acquire D.S. Brown for $208 Million

Saint-Gobain has entered into a definitive agreement to acquire D.S. Brown Company from Gibraltar Industries for $208 million in cash, subject to customary post-closing adjustments.
D.S. Brown designs and manufactures products for bridges, airports and other transportation infrastructure. Its portfolio includes expansion-joint systems, structural bearings, pavement-preservation materials and waterproofing solutions.
The North Baltimore, Ohio-based company is expected to generate approximately $90 million in sales in 2026. It has about 235 employees and operates manufacturing plants in North Baltimore and Athens, Texas.
Saint-Gobain said the acquisition will expand its North American construction-chemicals platform and strengthen its position in transportation infrastructure. D.S. Brown’s products complement technologies from Saint-Gobain businesses including GCP, Fosroc, Chryso and Xypex.
The company identified opportunities to combine specification support, product development and commercial access across its infrastructure portfolio. D.S. Brown’s products are used in the repair, protection and strengthening of bridges, roadways, airports and other civil-engineering assets.
Saint-Gobain recently completed its acquisition of Xypex’s North American business, adding crystalline waterproofing technology to its construction-chemicals portfolio. Link that sentence to ID 115343 once the scheduled article is live.
The D.S. Brown transaction is subject to U.S. antitrust approval and other customary closing conditions. Saint-Gobain expects it to close by the end of 2026. Gibraltar said it plans to use the sale proceeds to reduce debt.
The transaction extends Saint-Gobain’s expansion into infrastructure repair, protection and waterproofing systems. It also points to continued consolidation around specification-driven materials used to extend the service life of bridges, roadways, airports and other civil assets.
