Natoco Completes Acquisition of Japanese Coatings Manufacturer

Natoco Co., Ltd. completed its acquisition of Japanese coatings manufacturer Tohpe on Nov. 2, making the company a wholly owned subsidiary.
The transaction was initially announced in May, when Natoco agreed to acquire 100% of Tohpe from Zeon Corp. The purchase was valued at approximately ¥2.19 billion.
Natoco said the acquisition is intended to expand its coatings business and support a restructuring of its product supply network. The company primarily manufactures industrial coatings along with fine chemicals and operates a solvent distillation business.
Tohpe manufactures coatings for a range of markets, including industrial products, architectural applications, infrastructure and corrosion protection. Its portfolio also includes waterborne and powder coatings.
Before the transaction closed, Tohpe’s acrylic rubber business was separated from the coatings operation and retained within the Zeon group. The acquisition therefore covers Tohpe’s coatings-related operations rather than its former acrylic rubber business.
Natoco said completion of the transaction does not change its consolidated earnings forecast for the fiscal year ended October 2026.
The acquisition also gives Natoco additional production resources as it evaluates its manufacturing network. When the agreement was announced, the company identified expansion of its coatings business and rebuilding its product supply system as key objectives.
The transaction consolidates two Japanese coatings businesses and expands Natoco’s manufacturing and product capabilities across industrial coatings and powder coatings. The deal also reflects continued consolidation among regional coatings manufacturers seeking broader product portfolios and more flexible production networks.
