MIDLAND, MI — The Dow Chemical Co. announced an agreement to acquire the polyurethanes business of EniChem S.p.A. of Italy, a manufacturer of polyols, toluene diisocyanate (TDI) and methylene-diphenylene isocyanmate (MDI). Under terms of the agreement, Dow will divest Union Carbide Corp.’s 50% stake in Polimeri Europa in order to meet European Commission conditions for the merger of Dow and Union Carbide.

The EniChem acquisition includes plants in Italy, France and Germany, and will give Dow its first European TDI source, the company said. The acquisition will be completed following regulatory approvals.
