AkzoNobel and Axalta Set Key August Date for Proposed Combination

AkzoNobel will hold an Extraordinary General Meeting on Aug. 5, 2026, at 3 p.m. CEST in Amsterdam. Axalta has scheduled a Special Meeting of Stockholders for the same day at 9 a.m. EDT.
The meetings will address merger-related resolutions and other matters tied to the proposed transaction. AkzoNobel published its meeting notice, agenda and shareholder circular, while Axalta filed a definitive proxy statement.
The U.S. Securities and Exchange Commission declared effective AkzoNobel’s Form F-4 registration statement related to the proposed combination on June 23.
Completion of the transaction remains subject to approval by both companies’ shareholders, required regulatory approvals and other customary closing conditions. AkzoNobel and Axalta said they continue to anticipate closing at the end of 2026 or the beginning of 2027.
