Apogee to Acquire GroGlass for Up to $72.5M

Apogee Enterprises Inc. has entered into a definitive agreement to acquire SIA GroGlass for up to €62.5 million, approximately $72.5 million at the exchange rate cited by the company, expanding its coatings and materials-science capabilities into a European manufacturing base.
The cash-free, debt-free purchase price includes up to €10 million, approximately $11.6 million, payable over three years if GroGlass reaches specified financial targets, according to Apogee's Sept. 2 announcement filed with the U.S. Securities and Exchange Commission.
Based in Riga, Latvia, GroGlass produces high-performance glass-surface solutions, with a focus on anti-reflective and other advanced coatings for glass, acrylic and polycarbonate. Its products serve display, architectural and technical applications in markets that include museums, electronics and architectural design.
Apogee said the acquisition would add differentiated coating technologies, materials-science expertise and a European manufacturing footprint. The company plans to integrate GroGlass into its Performance Surfaces segment, where it expects the business to expand product offerings, geographic reach and cross-selling opportunities.
The acquired operation is expected to contribute approximately $30 million in revenue during the first 12 months after closing at an adjusted EBITDA margin of approximately 25%, according to Apogee. The integration plan identifies at least $4 million in annualized cost synergies and operating improvements that the company expects to realize within three years.
Apogee plans to finance the transaction with cash on hand and its existing credit facility. Closing is expected during the company's fiscal 2027 third quarter, subject to customary conditions.
Apogee provides architectural building products and services as well as high-performance coated materials. Its portfolio includes architectural glass, windows, curtainwall, storefront and entrance systems, installation services and coatings intended to provide protection, design and enhanced performance.
The proposed transaction is relevant to PCI readers following special-purpose coatings used to control reflection, light transmission, durability and surface performance on glass and polymeric substrates.
