The acquired group generates nearly €40 million in annual sales with an EBITDA margin of approximately 10%. It employs about 35 people at its headquarters and production operation in Zele, Belgium, including eight R&D employees.

Flamaway also operates a manufacturing and distribution facility with an application laboratory in Rochdale, United Kingdom, and a commercial operation with a smaller application laboratory in Suzhou, China.

Campine said the businesses have complementary portfolios. Campine currently supplies flame-retardant chemicals in powder form and as pelletized masterbatches, while Flamaway adds liquid formulations, multi-material chemistry and application expertise. Flamaway will become part of Campine’s Specialty Chemicals division.

Flamaway’s portfolio includes flame-retardant powders and liquid systems used in textile coatings, back coatings and waterborne intumescent formulations. Its materials serve technical textiles, transportation, construction, furniture and other industrial applications.

Luc Carlier, Flamaway’s CEO and principal shareholder, has agreed to continue leading the acquired business. Campine said the leadership arrangement is intended to provide continuity for customers and employees as the companies integrate their operations.

Closing is planned for Oct. 1, 2026. The acquisition remains pending and should not yet be described as completed. Campine did not disclose the purchase price.

The planned acquisition is relevant to PCI readers following paint and coatings additives used to provide flame resistance in coatings, polymers and technical-textile finishing systems.
