RPM to Acquire Italian Waterproofing Supplier Volteco

RPM International Inc. has signed a definitive agreement to acquire Volteco S.p.A., an Italy-based supplier of below-grade waterproofing solutions, for its Tremco Construction Products Group.

Headquartered in Ponzano Veneto, Italy, Volteco reported calendar 2025 sales of €28 million. The company is known for its Amphibia waterproofing sheet membrane and also supplies bagged powder products for patch and repair applications, flexible liquids, mortars, resins and damp-proofing materials.

RPM said the acquisition would add a differentiated waterproofing technology platform to Tremco CPG. Volteco’s products have been used in projects including historic landmarks in Venice, the Santa Giulia Ice Hockey Arena in Milan, an underground tunnel in L’Aquila and the Y-40 thermal pool.

RPM Chairman and CEO Frank Sullivan said Volteco complements Tremco CPG’s existing product lines and would give the group additional technologies that can be introduced through its global sales organization.

The transaction is expected to close in the second quarter of RPM’s fiscal 2027, subject to customary closing conditions.

Volteco’s waterproofing systems have been used on a range of historic, commercial and infrastructure projects. According to RPM, applications include historic landmarks in Venice; the Santa Giulia Ice Hockey Arena in Milan, a venue for the Milan Cortina 2026 Winter Olympic Games; an underground tunnel connecting the Abruzzo Regional Citadel with the L’Aquila bus terminal; and Y-40, a thermal diving pool in Montegrotto Terme, Italy.

The proposed acquisition expands RPM’s special purpose coatings and waterproofing portfolio with below-grade membrane, resin, mortar and damp-proofing technologies, reflecting continued consolidation around integrated building-envelope systems.
