Nippon Paint Completes European Automotive Coatings Buyback

Nippon Paint Holdings has completed the acquisition of shares in its European automotive coatings business, returning the operation to the group as a subsidiary. The company disclosed the completion in an Oct. 2 investor-relations announcement.
Nippon Paint approved the repurchase Aug. 7 at an expected price of approximately €47 million, equivalent to ¥8.5 billion at the exchange rate used in that disclosure. The company had scheduled the share transfer for October.
The business was transferred to Wuthelam Group in 2021 to undergo restructuring. Nippon Paint continued providing administrative and management support, including seconded management teams, while Wuthelam assumed the associated investment and restructuring risks.
Nippon Paint said the reorganization produced a recovery in operating performance and positioned the business for sustained profit growth. The company described the repurchase as a way to accelerate its global automotive coatings initiatives.
Because the acquisition involved a controlling-shareholder group, Nippon Paint commissioned an independent valuation and established a committee of three outside independent directors. Director Goh Hup Jin did not participate in the company’s deliberations, resolutions or negotiations concerning the transaction.
At signing, Nippon Paint said it expected the acquisition’s effect on consolidated fiscal 2026 performance to be immaterial.
The closing returns an automotive OEM coatings operation to Nippon Paint’s ownership, making it relevant to manufacturers tracking consolidation and geographic investment in industrial coatings.
