AkzoNobel Sets New Vote on Axalta Merger

AkzoNobel has scheduled an Extraordinary General Meeting for Nov. 30, 2026, with proposals related to its planned all-share merger of equals with Axalta Coating Systems Ltd. on the agenda. Pasted text
The announcement comes one day after AkzoNobel and Axalta revealed Axanzo as the name of their combined company. The companies said the envisaged post-closing ticker symbol on Euronext Amsterdam and the New York Stock Exchange will be AXZ.
At the Nov. 30 meeting, AkzoNobel shareholders will consider a proposal to amend the articles of association of the combined company to reflect the definitive proposed name, Axanzo N.V. Pasted text
Shareholders will also consider proposals concerning the appointment of Denise Johnson, Stephan Tanda and Robert Schuchna as non-executive directors of the combined company. The three executives had previously agreed to serve on the board following completion of the merger. Pasted text
AkzoNobel said further details on the EGM, including the notice, agenda and explanatory notes, are available on its website.
The meeting represents another step in the companies’ work toward completing the combination. AkzoNobel and Axalta shareholders approved the proposed $25 billion merger on Aug. 5, clearing a major transaction condition, although regulatory approvals and other closing conditions remain.
Regulatory review of the transaction is continuing in multiple jurisdictions. In September, the U.K. Competition and Markets Authority opened its formal Phase 1 review, with a Nov. 11 deadline for its next decision. PCI also reported this month that the European Commission published its notification of the proposed combination and that a potential vehicle-refinish divestiture could become part of the EU approval process.
AkzoNobel and Axalta announced the proposed all-stock merger of equals in November 2025. The combination is expected to create a coatings company with approximately $17 billion in annual revenue and an enterprise value of approximately $25 billion. AkzoNobel shareholders are expected to own approximately 55% of the combined company, with Axalta shareholders owning approximately 45%.
The companies have said they expect the transaction to close in early 2027, subject to regulatory approvals and other customary closing conditions.
The Nov. 30 meeting marks another step toward the proposed combination of two of the world’s largest coatings manufacturers. PCI continues to follow the AkzoNobel-Axalta merger and acquisition process as regulatory decisions, governance changes and integration plans could affect competition, technology development and global supply networks across the coatings industry.
