Olin-Huntsman Merger Receives Shareholder Approval

Olin Corp. and Huntsman Corp. shareholders have approved the proposals required to move forward with the companies’ planned all-stock merger of equals.
Olin’s final voting results show that 92,038,804 shares supported the direct-merger proposal, compared with 3,111,350 votes against and 277,987 abstentions. Approximately 84% of Olin’s outstanding shares were represented at the special meeting.
Huntsman’s merger proposal received 131,502,454 votes in favor, 1,828,828 against and 378,859 abstentions. Approximately 76.2% of Huntsman’s outstanding voting power was represented.
Separate nonbinding votes on transaction-related executive compensation also passed, although they received less support than the merger proposals. Olin’s compensation proposal received 87,862,384 votes in favor and 7,105,019 against. Huntsman’s proposal received 117,592,172 votes in favor and 15,456,713 against.
Based on the voting results, the companies plan to use the direct-merger structure, under which Huntsman will merge into Olin. The combined company will operate as OlinHuntsman Corporation.
The shareholder votes do not complete the transaction. The merger remains subject to required regulatory approvals and other customary closing conditions. Olin and Huntsman continue to target completion during the first half of 2027.
