Olin Targets First-Quarter 2027 Close for Huntsman Merger

Olin expects its proposed merger with Huntsman to close in the first quarter of 2027, narrowing the first-half closing window outlined when the companies announced the transaction in June.
The company provided the updated timing with its third-quarter results. Closing remains subject to remaining regulatory approvals and customary conditions. Olin said the companies continue permitted pre-closing integration planning.
Under the previously announced all-stock agreement, Huntsman shareholders would receive 0.5476 Olin shares for each Huntsman share. Olin shareholders would own approximately 54.5% of the combined company and Huntsman shareholders approximately 45.5%.
The combined business would operate as Olin Huntsman Corp., with headquarters in The Woodlands, Texas. Ken Lane would serve as CEO and Peter Huntsman as nonexecutive chairman.
The companies originally identified more than $300 million in annual cost synergies and integration benefits, with most expected within 24 months and the full amount by the third year. They also identified an additional $100 million in annual raw-material benefits beginning in 2031.
Olin’s Epoxy segment reported third-quarter sales of $412.2 million, compared with $349.6 million a year earlier. Segment earnings were $0.6 million, compared with a $32.2 million loss. Higher volumes and lower operating costs supported the improvement, although European conditions remained weak.
The updated closing expectation is a narrower target, not an announcement that the merger has closed. The companies remain separate businesses pending completion.
