BASF Confirms Exploratory Talks on Potential Evonik Takeover

BASF has confirmed exploratory talks with Evonik Industries AG and RAG-Stiftung regarding a possible takeover of the specialty chemicals company.
BASF said the course and outcome of the discussions remain open. The company added that it regularly evaluates acquisitions that could strengthen its core businesses, provide a strategic fit, support profitable growth and create value.
In a separate ad hoc disclosure, Evonik confirmed that it had received a nonbinding approach from BASF concerning a possible voluntary public takeover offer for all Evonik shares.
Evonik said no talks were currently taking place and that it did not intend to comment further beyond its legal disclosure obligations. The companies therefore described the status differently, but neither announced a binding agreement or the launch of a formal takeover offer.
RAG-Stiftung also confirmed that BASF contacted it regarding a potential voluntary public offer for Evonik. The foundation currently reports holding approximately 44% of Evonik’s shares.
The public statements did not disclose a possible purchase price, financing structure, transaction conditions or timetable. They also did not indicate that Evonik’s management or RAG-Stiftung had agreed to support an offer.
A transaction would bring together two large suppliers with substantial coatings-material portfolios. BASF supplies dispersions, pigments, resins and additives used in architectural, automotive, commercial-vehicle and industrial coatings.
Evonik’s coatings portfolio includes additives, specialty resins, co-binders, crosslinkers, curing agents, methacrylate monomers, polymers, silica and silanes. The company serves architectural, automotive, powder, wood, metal and other industrial coatings markets. Evonik
The scale of the companies would make any formal transaction significant for the global chemical and coatings supply chains. BASF reported approximately €60 billion in 2025 sales, while Evonik reported €14.1 billion. No transaction has been agreed, and the companies have not said when another update may be issued.
