AkzoNobel, Axalta Offer EU Remedies for $25B Merger

AkzoNobel and Axalta Coating Systems have submitted commitments to the European Commission in connection with their proposed $25 billion merger.
The European Commission’s case record for transaction M.12269 lists the commitments as having been submitted Oct. 15. The filing moved the provisional deadline for the Commission’s preliminary review to Nov. 6. The Commission has not publicly disclosed the contents of the proposed remedies.
Reuters reported that the submission automatically added 10 working days to the review timetable. Citing people familiar with the matter, Reuters said the companies are expected to offer the sale of AkzoNobel’s vehicle-refinish business to address competition concerns. AkzoNobel and Axalta have not publicly confirmed that the refinish operation is included in the submitted package.
The Commission is expected to seek feedback from customers and competitors before deciding whether to clear the transaction, require additional changes or open a more extensive investigation.
The formal filing advances a possibility PCI reported Oct. 9, when Reuters sources said a refinish divestiture could become part of the European approval process. The latest case record confirms that commitments have been submitted, but it does not establish which assets are included or whether the Commission will accept the proposal.
The filing follows several other merger developments. AkzoNobel and Axalta announced Oct. 15 that the combined company would be named Axanzo and would use the planned ticker symbol AXZ after closing. AkzoNobel subsequently called shareholders to a Nov. 30 meeting to consider amendments and proposed board appointments related to the combined company. The businesses will continue operating independently until the transaction closes.
The companies currently expect the merger to close in early 2027, subject to regulatory approvals and other customary closing conditions.

The filing gives automotive refinish coatings manufacturers, distributors and repair businesses the clearest indication yet that vehicle-refinish overlap is central to the European review. A required divestiture could change brand ownership, supplier competition, technical support and distribution relationships across the refinish market.
