Saint-Gobain Completes Xypex Waterproofing Acquisition

Saint-Gobain has completed its acquisition of Xypex, a Vancouver-based supplier of crystalline waterproofing admixtures and coatings.
The company announced the closing Oct. 1, following the definitive agreement disclosed July 6. Xypex serves customers in more than 100 countries, with positions in infrastructure and specification-driven construction markets across North America, Asia-Pacific and Europe. Saint-Gobain expects the business to generate C$110 million in 2026 sales.
At the time of the agreement, Saint-Gobain said Xypex employed approximately 170 people. The acquisition was intended to expand the group’s presence in nonresidential and infrastructure applications, including transportation, water infrastructure and underground construction.
Xypex’s technology adds another approach to Saint-Gobain’s waterproofing portfolio. Existing offerings include GCP Preprufe and FOSROC Proofex membranes, Stirling Lloyd Eliminator and GCP Silcor liquid-applied systems, and injection and repair technologies.
Saint-Gobain said crystalline waterproofing can be used independently or alongside membrane systems to support concrete durability, extend asset life and reduce maintenance requirements.
The acquired portfolio includes Admix C-Series, Concentrate and Bio-San technologies. Saint-Gobain said those products have been specified for demanding projects around the world and complement its existing relationships with engineers and other construction specifiers.
In outlining the transaction, Saint-Gobain identified opportunities to combine Xypex’s specification-driven business with its own geographic reach, distribution network and construction chemicals operations. The company expects that combination to support cross-selling and operational synergies, although it did not quantify those benefits.
Saint-Gobain described the acquisition as part of its Lead & Grow strategy to expand construction chemicals and increase its presence in nonresidential and infrastructure markets.
The acquisition expands a major construction-materials supplier’s special purpose coatings portfolio with crystalline waterproofing technology for concrete infrastructure and below-grade construction.
